0 烟台大学硕士学位论文一人公司法人人格否认研究姓名王茂森申请学位级别硕士专业民商法学指导教师姜一春20080331 I摘 要 一人公司的出现是经济发展的必然结果作为一种崭新的投资方式一人公司以其投资成本低资本运营效率高历来为广大中小投资者所青睐。然而一人公司本身的局限性也是显而易见的公司股东身兼董事、经理人数职根本无法实现公司治理结构的分工与制衡。因此一人公司往往会因为股东滥用权利而异化成为侵害债权人、其他相关人员以及社会公共利益的工具。在一人公司前提下怎样保护好债权人及社会公众利益便成为必须面对的问题。当出现因公司人格和股东有限责任被滥用而侵害他人利益的情形时一人公司法人人格否认作为一种事后矫正手段便成为最佳的救济措施。 本文从传统公司法人人格否认理论以及一人公司的特点入手详细阐述了确立一人公司法人人格否认制度的必要性在分析一人公司法人人格否认特殊性的基础上界定了一人公司法人人格否认适用的范围理清了一人公司法人人格否认适用的要件并从诉讼法的角度对一人公司法人人格否认进行了简单的探讨最后对我国公司法中有关公司法人人格否认的规定进行了评析并对其如何进一步完善提出了自己的见解。 关键词法人人格有限责任一人公司公司法人人格否认 IIA tract The emergence of One-Man Company is the inevitable result of economic development. As a new investment One-Man Company with its low cost and high efficiency of capital operatio has been widely favored by all kinds of investors. But its own limitation is also obvious that shareholders of the Company who is also a director a manager can’t achieve the division and balance of Corporate governance structure.
